Section 41.304 - Executive Board(a) The board of directors is governed by an executive board composed of 11 members elected by the membership of the board of directors on a majority vote from among that membership, as follows:(1) one member of the executive board who represents the state in criminal matters before a court in a county in which one or more facilities owned or operated by or under contract with the Texas Juvenile Justice Department are located shall be elected on a majority vote of the members of the board of directors to serve a term expiring in an even-numbered year;(2) an additional four members of the executive board shall be elected on a majority vote of the members of the board of directors to serve terms expiring in even-numbered years;(3) one member of the executive board who represents the state in criminal matters before a court in a county in which one or more facilities owned or operated by or under contract with the Texas Juvenile Justice Department are located shall be elected on a majority vote of the members of the board of directors to serve a term expiring in an odd-numbered year; and(4) an additional five members of the executive board shall be elected on a majority vote of the members of the board of directors to serve terms expiring in odd-numbered years.(b) If a vacancy on the executive board occurs before the end of the vacating member's term, the executive board shall elect a person to serve the remainder of the term. To be eligible for election under this subsection, a person must meet any qualifications required of the vacating member for service on the executive board.(c) The executive board shall conduct the business of the unit.(d) A majority of the members of the executive board constitutes a quorum for the transaction of business.
