Section 564-F:3-301 - Formation(a) One or more persons may act as the organizers of a foundation by filing with the secretary of state the foundation's certificate of formation.(b) The foundation's certificate of formation shall set forth: (1) The foundation's name; (2) The name of the foundation's initial registered agent in this state; and(3) The address of the foundation's initial registered office in this state.(c) Except to the extent that it is inconsistent with this chapter or any other applicable law, the foundation's certificate of formation may include any of the following: (1) The foundation's purposes;(2) The name of each of the foundation's initial directors;(3) If the foundation's existence will not begin upon the filing of certificate of formation with the secretary of state, the effective date and time on which the foundation's existence shall begin;(4) If the foundation will exist only for a limited period, the date on which the foundation shall terminate;(5) Any provision managing or regulating the foundation's affairs;(6) Any provision defining, limiting, or regulating the foundation's powers;(7) Any provision defining, limiting, or regulating a foundation official's duties and powers; and(8) Any other matter that the organizer deems necessary or advisable.(d) For purposes of subsection (c)(3), the effective date and time shall not be more than 90 days after the filing of the foundation's certificate of formation with the secretary of state.Added by 2017, 257:47, eff. 10/1/2017. 2017, 257:47, eff.
