The Board shall meet at least twice a year and as many times as necessary for the best fulfillment of its functions. In the first meeting, and thereafter whenever vacant, the Board shall elect a Chairman from among its members. The resolutions of the Board shall be taken by a majority vote of its members. Three (3) members of the Board shall constitute a quorum.
