§ 6023. Board—Creation and organization

The Puerto Rico Roof Waterproofing, Coating and Repair Contractors Board is hereby created. The same shall be composed of five (5) members appointed by the Governor, with the advice and consent of the Senate of Puerto Rico. The members of the Board shall be residents of Puerto Rico, be over the age of twenty-one (21), and have a good moral reputation. Three (3) of the members shall be duly licensed roof waterproofing, coating and repair contractors, well known to be professionally competent and actively practicing the roof waterproofing, coating and repair contractor profession in Puerto Rico. This license shall be granted to initial members by the Department of State without examination. One (1) of the remaining two (2) members, representing the consumer interest, may practice any profession and have some knowledge on the subject of roof waterproofing, coating and repair; the other member shall represent the public interest. The members shall be initially appointed as follows: one (1) member for a four (4)-year term, two (2) for a three (3)-year term, and two (2) for a two (2)-year term and upon expiration of the initial terms, the following appointments shall be for five (5) years. No member of the Board may be appointed for more than two consecutive or alternate terms. The Governor shall designate the Chairperson of the Board. The Board shall be attached to the Department of State of Puerto Rico.

The necessary moneys for the creation of this Board shall originate from unencumbered funds of the General Budget of the Government of Puerto Rico.

The members of the Board shall remain in office until their successors have been appointed and have taken office.

The appointments to fill vacancies that arise for reasons other than the expiration of the term established by law shall be effective until the expiration of the vacancy’s term.

Three (3) members of the Board shall constitute a quorum. The decisions of the Board shall be made by the absolute majority of the members that compose it. The Chairperson shall sign all official documents issued by the Board. The Board shall meet as many times as necessary to carry out its functions, as convened by the Chairperson in office on his/her own initiative or by request of at least three (3) of its members.

The Board shall have an official seal. The members of the Board, including the public employees or public officials, shall receive per diems equivalent to those received by the members of the Legislature of Puerto Rico for each day or portion thereof that they attend Board meetings or sessions, for up to a maximum of three thousand dollars ($3,000) per year, except for the Chairperson of the Board, who shall receive a per diem equal to one hundred and thirty-three percent (133%) of the per diem received by all other members of the Board. The Governor of Puerto Rico may remove any member of the Board due to lack of professional ethics, immoral conduct, negligence, inefficiency or incompetence in the discharge of his or her office or for a conviction for a felony or a misdemeanor that involves moral depravity or for any other grounded and justified cause.
