A member may resign from an LLC only at the time or upon the occurrence of events specified in an LLCA and in accordance with the LLCA. Notwithstanding anything to the contrary under applicable law, unless an LLCA provides otherwise, a member may not resign from an LLC prior to the dissolution and liquidation of the LLC.
