A commission to be known as the "Hudson-Mohawk urban cultural park commission" is hereby created.
The commissioner of the office of parks, recreation and historic preservation shall be a non-voting member of the board. Each member may designate a representative to participate in his place. The members shall choose from their number a chairman, vice-chairman, and secretary-treasurer. Six of the board's voting members shall constitute a quorum. The members of the board shall be entitled to no compensation for their services but shall be entitled to reimbursement for their actual and necessary expenses incurred in the performance of their official duties. The voting powers of the commission shall be vested in and exercised by a majority of the members of the board. Such board may delegate to one or more of its members or to its officers, agents and employees such powers and duties as it may deem proper.
