Section 33-42-1610 - Law governing(a) Subject to the Constitution of this State, (1) the laws of the state under which a foreign limited partnership is organized govern its organization and internal affairs and the liability of its limited partners, and (2) a foreign limited partnership may not be denied registration by reason of any difference between those laws and the laws of this State.(b) A foreign limited partnership may transact any business in this State that a limited partnership formed in this State may carry on.1986 Act No. 533, Section 1; 1985 Act No. 11, Sections 3, 4; 1984 Act No. 491, Section 1.
