"Substantial control" as used in Puc 2102.01 means the possession, directly or indirectly and whether acting alone or in conjunction with others, of the authority to direct or cause the direction of the management or policies of an entity. "Substantial control" includes a minority voting interest established by a direct or indirect voting interest of 10 percent or more in the entity.
