Rule 8-A111 - COMMITTEES OF THE BOARD OF GOVERNORS
111.1

The Chairperson of the Board of Governors shall annually propose a committee structure for adoption by resolution of a majority of the full Board.

111.2

The committee structure shall establish the name, number of members, and jurisdiction of each standing committee of the Board.

111.3

The Committee of the Whole shall automatically become a part of the committee structure and shall include all Board members.

111.4

The Board of Governors may establish ad hoc committees at any time by resolution of a majority of the full Board which shall set forth the name, number of members, and purpose of the ad hoc committee.

111.5

An ad hoc committee shall be dissolved upon the submission of a final report and recommendation(s) to the Board, or the expiration of a specified term of the committee that is set forth in the establishing resolution, or by vote of a majority of the full Board.

111.6

Standing and ad hoc committees of the Board shall not have executive power unless specifically provided by the provisions of this title or unless that power is specifically delegated to the committee to deal with a particular matter by official action of the Board.

111.7

The chairperson of a standing or ad hoc committee shall preside over committee meetings, establish the agenda of committee meetings, and prepare and present the report of the committee to the Board.

111.8

The chairperson of a committee may appoint a chairperson pro tempore to assume the duties of the chair in the absence of the chairperson.
