Cal. Code Regs. tit. 4 § 6022
The requirement to submit a Report of Final Sale shall not include an Issue of commercial paper notes from which all proceeds are to be used solely for the purpose of repaying commercial paper notes and any applicable costs of issuance. If the proceeds from an Issue of commercial paper notes are to be used for purposes other than repayment of commercial paper notes and any applicable costs of issuance, a Report of Final Sale shall be submitted to the Commission to report the amount of the Issue that will be used for purposes other than the repayment of commercial paper notes.
